Backpack stocks are real. You own genuine U.S. securities under UCC Article 8, held by SEC-registered, SIPC-member brokers. Here is how ownership and custody work.

Are Backpack Stocks Real? Ownership & Custody Explained

Short answer: yes, Backpack stocks are real. When you trade on Backpack Securities, you own genuine U.S.-listed stocks and ETFs, not synthetic tokens, wrapped derivatives, or contractual IOUs. This page explains the legal framework, custody chain, and protections behind that ownership, so you know exactly what you hold.

What do you actually own?

Your holdings are structured as security entitlements under the New York Uniform Commercial Code (UCC) Article 8 the same legal framework used by Schwab, Fidelity, Vanguard, and Robinhood. These are direct property interests, not unsecured debt and not a promise to pay.

Aspect Detail
Legal basis New York UCC Article 8
Governing law New York (UCC § 8-110(e))
Property status Direct property interest — not an IOU or unsecured debt
Backing 1:1, held proportionally (UCC § 8-504)

Who holds your stocks

Trades are cleared and custodied by SEC-registered, FINRA- and SIPC-member brokers:

Entity Role Registration
RQD Clearing, LLC Clearing Broker SEC-registered; FINRA & SIPC member (CRD 134284)
Atomic Vault Securities, LLC Intermediary Broker SEC-registered; FINRA & SIPC member (CRD 317194)

You can verify both firms yourself on FINRA BrokerCheck.

How your assets are protected

  • 1:1 backing: securities are held proportionally on your behalf under UCC § 8-504.
  • Bankruptcy-remote: customer assets are segregated from the company's creditor claims under UCC § 8-503, so they're not part of the company's balance sheet.
  • Genuine market exposure: you hold real equity with real NYSE/NASDAQ liquidity, not a synthetic price feed.

This is what separates Backpack Securities from synthetic "stock tokens": real ownership, real custody, real investor protections. It's also why holding stocks alongside crypto in a unified portfolio is meaningfully different from holding a derivative.

Shareholder features (in development)

Because you hold real securities, true shareholder features are supported by the infrastructure  but several are not yet active during public beta:

  • Cash dividends (with tax-treaty withholding benefits)
  • Corporate actions (stock splits, mergers, spinoffs)
  • Voting rights
  • External transfers (ACATS/DTCC)

Note: External transfers are unavailable during public beta. You can't yet move stock to an outside wallet, broker, or platform. To exit a position, sell it back to USD within Backpack. ACATS transfers are in development.

Backpack Securities is in public beta and available only to eligible users in supported regions. This article is for general information and educational purposes only and is not financial, investment, legal, or tax advice. Investing involves risk, including possible loss of principal.
